Terms of Service
These Terms of Service (the Terms) govern your access to and use of the Access-MCP website at access-mcp.ai (the Site) and the Access-MCP software product and related services (collectively, the Service), provided by A-Point Systems Ltd, a company incorporated in Israel (company registration no. 514562115), with its registered office at HaLapid 12, Petach Tikva, Israel (A-Point, we, us, or our).
By downloading, installing, registering for, accessing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and you refers to that entity. If you do not agree to these Terms, you may not use the Service.
1. The Service
Access-MCP is a proprietary Model Context Protocol (MCP) server for Microsoft Access. It is distributed as a self-contained Windows executable that enables AI agents and MCP-compatible clients to interact with local Microsoft Access databases. The Service comprises the Site, the Access-MCP software (the "Software"), the licensing and registration services, and any documentation we make available.
The Software runs locally on your Windows machine and operates against database files you control. We do not host, store, or have access to the contents of your databases.
2. Eligibility and accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. Where registration is required (for example, to obtain a Free-tier license key), you agree to provide accurate information and to keep it current. You are responsible for safeguarding any license key issued to you and for all activity carried out under it.
3. Licensing tiers
The Service is offered on a freemium basis across the following tiers:
- Trial — a 14-day evaluation period beginning on first run, granting access to all Software tools at no charge and without payment details.
- Free — a perpetual no-cost tier providing read-only tools subject to a daily operations limit (approximately 50 operations per day), conditional on registration for a license key.
- Pro — a paid subscription at USD $49 per developer, per month, unlocking all tools, including write, VBA, form/report, batch, and transfer operations, without the Free-tier daily limit.
We may adjust tier features, limits, and pricing on a prospective basis. Material changes to a paid plan will not affect your current billing period.
4. License grant and restrictions
Subject to your compliance with these Terms and payment of any applicable fees, A-Point grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on the number of machines permitted by your tier or subscription, solely for your internal business or development purposes. Use of the Software is also governed by the End User License Agreement (EULA) supplied with the Software; in the event of a conflict regarding use of the Software, the EULA controls.
The Software is proprietary and closed-source. You may not, and may not permit any third party to:
- copy, distribute, sublicense, rent, lease, lend, or resell the Software;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, except to the limited extent this restriction is prohibited by applicable law;
- circumvent, disable, or tamper with any licensing, metering, entitlement, or security mechanism;
- remove or alter any proprietary notices;
- use the Software to build a competing product, or for any unlawful purpose.
All rights not expressly granted are reserved by A-Point.
5. Payment, billing, and Merchant of Record
Pro subscriptions are sold and processed through Paddle.com (Paddle), which acts as our authorized reseller and Merchant of Record (MoR) — meaning Paddle is the seller of record for your purchase, and is responsible for processing payments, calculating and remitting applicable sales tax/VAT, and handling order-related billing inquiries.
By purchasing a Pro subscription, you also agree to Paddle's buyer terms and privacy notice, available at paddle.com/legal/checkout-buyer-terms and paddle.com/legal/privacy.
Subscriptions renew automatically each month until cancelled. You may cancel at any time through the Paddle customer portal or the link provided in your purchase confirmation email; cancellation stops future renewals and takes effect at the end of your current billing period. Refunds are governed by our Refund Policy.
6. Acceptable use
You agree not to use the Service to: violate any law or regulation; infringe the rights of others; access data you are not authorized to access; transmit malware; or interfere with the integrity or performance of the Service. We may suspend or terminate access for conduct we reasonably believe violates these Terms or creates risk or legal exposure for us.
7. Intellectual property
The Service, including the Software, the Site, and all related content, trademarks, and documentation, is owned by A-Point or its licensors and is protected by intellectual property laws. These Terms do not transfer any ownership rights to you. "Access-MCP" and "A-Point" are marks of A-Point Systems Ltd. "Microsoft", "Access", and related names are trademarks of their respective owners; A-Point is independent of and not endorsed by Microsoft.
8. Third-party software and clients
The Service interoperates with third-party MCP clients and AI agents (for example, Claude, Cursor, and GitHub Copilot) and with Microsoft Access installed on your machine. We do not control these third parties, and your use of them is subject to their own terms. We are not responsible for third-party software.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements.
The Software can modify databases when you grant it write access. You are responsible for maintaining backups of your data. A-Point is not liable for data loss or corruption resulting from your use of the Software, including operations you or your AI agent instruct it to perform.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, A-POINT AND ITS DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. A-POINT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless A-Point from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service or your violation of these Terms.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if continuing to provide the Service becomes commercially impracticable. Upon termination, your license to use the Software ends and you must cease use. Sections that by their nature should survive (including Sections 4, 7, 9, 10, 11, and 13) survive termination.
13. Governing law and disputes
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles. The competent courts of Tel Aviv–Jaffa, Israel will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except that we may seek injunctive relief in any competent court. Nothing in this section deprives a consumer of mandatory protections under the law of their country of residence.
14. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be communicated through the Site or by email where appropriate. Your continued use of the Service after changes take effect constitutes acceptance.
